To set up an International Business Company (IBC) in Seychelles, the applicant will need to submit the following documents:

  • Memorandum of Association
  • Articles of Association
  • Articles of Incorporation
  • Register of Directors & Shareholding
  • Certificate of Good Standing

The choice of proposed company names, as well as the personal details of the beneficial directors and shareholders (name, nationality, country of residence, address etc) should be stated clearly in the application form.
All the related forms and documents are compiled and submitted to the Office of the Registrar General in Seychelles. The Registrar will issue a unique company number to the proposed offshore company, while the applicants are given time to prepare and submit the Company’s Memorandum of Association.
Once the Memorandum of Association is accepted, the Registrar will incorporate the company, and issue the company’s Certificate of Incorporation to the applicants.
Subsequently, the Article of Association must be submitted within 30 days from the incorporation of this company.
